Terms and Conditions for Therapy Subscription Service

Effective Date: 1 January 2026

1. Introduction

These Terms and Conditions (“Agreement”) govern the subscription-based therapy services (“Services”) provided by Mindful Synergi (“Provider,” “we,” “us,” or “our”) to you (“Client,” “you,” or “your”).

By subscribing to our Services, you confirm that you have read, understood, and agree to be bound by this Agreement.

2. Nature and Scope of Services

2.1 The subscription provides access to therapy services, which may include weekly or fortnightly therapy sessions, access to online resources, and additional support as outlined in your selected subscription plan.

2.2 Therapy services are provided by appropriately qualified and/or registered practitioners and delivered in accordance with relevant professional, ethical, and legal standards.

2.3 The Services are not a crisis or emergency service. If you are experiencing a mental health crisis, are at risk of harm to yourself or others, or require immediate support, you must contact emergency services (000) or an appropriate crisis support service.

2.4 We do not guarantee specific outcomes from therapy, as results vary depending on individual circumstances and engagement.

3. Subscription Plans and Changes

3.1 Subscription plans, inclusions, and pricing are provided at the time of sign-up.

3.2 We reserve the right to amend subscription pricing or inclusions with at least 30 days’ written notice. Continued use of the Services after the notice period constitutes acceptance of the changes.

4. Payments

4.1 Subscription payments will be automatically debited from your nominated bank account on a weekly or fortnightly basis, depending on your selected plan.

4.2 By providing your payment details, you authorise us to process recurring payments for the duration of your subscription.

4.3 You are responsible for ensuring sufficient funds are available. Failed or declined payments may result in additional processing fees and suspension of Services until payment is received.

5. Subscription Term and Renewal

5.1 Subscriptions operate on a rolling basis and will continue until cancelled by either party in accordance with this Agreement.

5.2 To avoid the next billing cycle, you must cancel your subscription at least 7 days prior to the next scheduled payment.

6. Annual Shutdown Period

6.1 The Practice observes an annual shutdown period each year. Subscription payments will continue during this period.

6.2 Clients will receive the full twenty-four (24) or forty-eight (48) therapy sessions included in their subscription. Sessions not delivered during the shutdown period will be rescheduled and delivered outside of the shutdown period in accordance with our booking and cancellation policies.

6.3 The shutdown period does not reduce the total number of sessions included in a client’s subscription.

7. Session Use and Timeframes

7.1 Therapy sessions included in a subscription must be used within the applicable subscription period or within a reasonable timeframe agreed by the Provider.

7.2 Sessions are non-transferable and may not be shared with another person.

7.3 Unused sessions may expire if the subscription is cancelled or terminated, subject to this Agreement.

  1. Rescheduling, Cancellations, and Missed Sessions

8.1 Sessions may be rescheduled with a minimum of 48 hours’ notice.

8.2 Sessions missed without sufficient notice will be forfeited and are not eligible for refund or rescheduling.

8.3 If you arrive late to a session, the session will end at the scheduled time, and the full session will be deemed delivered.

9. Subscription Pauses

9.1 Subscription pauses may be requested for extended periods such as holidays, illness, or other significant circumstances, subject to approval by the Provider.

9.2 Approved pauses may affect session scheduling but do not entitle the client to refunds unless otherwise agreed in writing.

9.3 The Provider reserves the right to limit the frequency or duration of pauses.

10. Cancellation and Refund Policy

10.1 You may cancel your subscription by providing written notice via email to info@mindfulsynergi.com.

10.2 Payments already processed are non-refundable. Access to Services will continue until the end of the current paid billing cycle.

10.3 Refund exceptions may be considered at the Provider’s discretion in cases of medical emergencies or exceptional circumstances.

11. Therapist Availability and Service Changes

11.1 Therapy sessions are subject to therapist availability.

11.2 If your allocated therapist becomes unavailable due to leave, illness, or other circumstances, the Provider may offer sessions with another suitably qualified therapist.

11.3 Changes in therapist allocation do not constitute grounds for refunds or termination outside this Agreement.

12. Client Responsibilities

12.1 You agree to attend sessions as scheduled and to actively engage in the therapeutic process.

12.2 You must provide accurate and up-to-date personal and payment information.

12.3 Respectful and appropriate behaviour is required at all times. The Provider reserves the right to suspend or terminate Services in cases of inappropriate, abusive, or unsafe conduct.

13. Confidentiality and Privacy

13.1 All therapy sessions are confidential and handled in accordance with our Privacy Policy and applicable laws.

13.2 Confidentiality may be breached where disclosure is required by law or where there is a serious risk of harm to you or others.

14. Telehealth Services (If Applicable)

14.1 Where Services are provided via telehealth, you acknowledge the inherent risks associated with online communication.

14.2 You are responsible for ensuring a suitable private environment and reliable internet access.

14.3 The Provider is not responsible for disruptions caused by technical issues outside our control.

15. Termination by Provider

15.1 The Provider may terminate or suspend Services if:

  • continued therapy is not clinically appropriate
  • there are repeated missed sessions or payment failures
  • there is inappropriate, unsafe, or abusive behaviour

15.2 Where possible, reasonable notice will be provided.

16. Limitation of Liability

16.1 To the extent permitted by law, the Provider is not liable for indirect or consequential losses arising from the use of the Services.

16.2 Our total liability for any claim is limited to the total amount paid by you in the 12 months preceding the claim.

17. Force Majeure

The Provider is not liable for delays or disruptions caused by events beyond our reasonable control, including illness, natural disasters, government restrictions, or technical failures.

18. Amendments

We reserve the right to amend these Terms and Conditions. Changes will be communicated via email and will take effect 30 days after notification.

19. Governing Law

This Agreement is governed by the laws of Australia, and any disputes will be subject to the jurisdiction of Australian courts.

20. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue in full force.
